El Congreso se realizó en el marco de las actividades financiadas por el Proyecto DER2015-67317-P, ?Poder económico y poder empresarial: la revisión de la estructura y la regulación del sistema español de gobierno corporativo?, dirigido por Juan Sánchez-Calero Guilarte y Mª Teresa Martínez, con el patrocinio de la Cátedra Extraordinaria de Derecho Registral UCM, y la colaboración del Instituto Universitario de Derecho Europeo e Integración Regional (DEIR), la Revista de Derecho de Sociedades, y la Revista de Derecho Bancario y Bursátil. En el Congreso participaron numerosos expertos, mayoritariamente del entorno académico, que analizaron diversas iniciativas de la Unión Europea en materia de sociedades de capital, y su impacto previsible (y en algunos caos, inminente) sobre la reforma del Derecho español. El congreso abordó, de entrada, los contenidos de la Directiva (UE) 2017/828 del Parlamento Europeo y del Consejo de 17 de mayo de 2017, por la que se modifica la Directiva 2007/36/CE en lo que respecta al fomento de la implicación a largo plazo de los accionistas de sociedades cotizadas. La oportunidad de su tratamiento no pudo ser mayor, puesto que el 24 de mayo, en el límite del plazo para su trasposición, el Ministerio de Economía y Empresa hizo público el borrador del Anteproyecto de Ley que pretende incorporar la Directiva al Derecho español, modificando leyes tan importantes como la Ley de Sociedades de Capital, del Mercado de Valores, de Auditoría de Cuentas, del Anteproyecto, no hace sino reforzar la utilidad de una obra como la que ahora se presenta al público. Instead, securities such as shares or bonds are mostly held through intermediaries and transferred by way of book-entries on securities accounts. However, there are remarkable conceptual differences between the various jurisdictions with regard to the legal treatment of intermediated securities. It is widely agreed that this patchwork creates considerable legal risks, especially in cross-border situations. Two initiatives are in place to reduce these risks. In 2009, the UNIDROIT Convention on Substantive Rules for Intermediated Securities (the 'Geneva Securities Convention') was adopted, aimed at harmonisation on the international level. The EU Commission is also running a legislative project, to achieve harmonisation at the regional level.
