Unter Berücksichtigung der jüngsten Rechtsprechungsentwicklung zur BJR in den USA sowie interdisziplinärer Erkenntnisse soll ein geeigneter Maßstab für richtiges Organverhalten von Aktiengesellschaften entwickelt werden. Der Einführung der BJR in93 Abs. 1 S. 2 AktG durch das UMAG kommt als Haftungsprivilegierung besondere Bedeutung zu. Der Gesetzgeber bezweckte mit dem UMAG ursprünglich die Stärkung der Aktionärsklägerrechte.
