Cette affaire de la Compagnie Dijon forme un exemple important et très significatif du climat de corruption qui régnait sous le Directoire, et qui n'est nullement une légende noire, comme on l'admet désormais trop souvent sur la foi d'un révisionnisme bien naïf. La compagnie Jean-Baptiste Dijon et associés était un gros fournisseur de la République. À la fin de l?an IV et au début de l?an V, elle avait spéculé à la baisse sur les mandats territoriaux (remplaçant les assignats). Mais ses concurrents spéculèrent en même temps à la hausse au point de finir par causer sa ruine. Elle proposa alors au Directoire exécutif de lui prêter 2 500 000 francs en numéraire contre 100 millions en mandats et de faire un remboursement réciproque dès le rétablissement de sa situation financière. Le Directoire exécutif, pressé de trouver à tout prix du numéraire pour payer des échéances imminentes, accepta sa proposition, sans l?aval du Corps législatif, ce qui permit à cette compagnie Dijon de s?emparer de près de 400 millions en mandats (soit le sixième de l?émission totale) et de dégager ainsi des profits très importants. Une fois l?opération découverte, le scandale fut immense, puisque le gouvernement avait en fait joué contre sa propre monnaie et permis à des "profiteurs" de réaliser d?immenses bénéfices.Ramel de Nogaret (1760-1829) fut surtout connu pour son ministère aux Finances du Directoire qu'il exerça entre janvier 1796 et juillet 1799. Fortement critiqué dans son administration des assignats, il fut pourtant à l'origine de l'allégement de la dette, introduisant plus de rigueur dans la rentrée des impôts et assurant la refonte du système fiscal, imaginant au passage le système du cadastre.Cf.
