Every year, thousands of founders sign away their companies without realizing it. Hidden in the legalese of "standard" term sheets are provisions that can reduce your ownership from 40% to 4%, flip control of your board overnight, and guarantee that even a successful exit leaves you with nothing.
This book exposes the toxic terms that VCs don't want you to understand.
Written by a battle-scarred veteran who's seen founders lose hundreds of millions to preventable provisions, "Deal Killers" is the book VCs hope you never read. Through real-world horror stories (with names changed to protect the victims), you'll discover how "participating preferred" stock consumed an entire $60 million exit, how "full ratchet anti-dilution" destroyed 80% of a founder's equity overnight, and how "pay-to-play" provisions literally deleted shareholders from the cap table.
But this isn't just a horror show – it's a defense manual.
Inside, you'll find:
- The Toxic Term Encyclopedia: 50+ dangerous provisions explained in plain English, with real math showing their true cost
- Word-for-Word Scripts: Exactly what to say when investors pressure you with "this is standard" or "take it or leave it"
- The Red Flag Glossary: A comprehensive guide to warning signs in terms, behavior, and portfolio patterns
- Actual Document Comparisons: Side-by-side examples of clean vs. toxic term sheets with traps highlighted
- The Math Behind the Terms: Calculators proving how a 2x participating preference can cost you $49.5 million on a $150 million exit
- The Question Arsenal: 25 questions to ask before signing anything, plus what to ask other founders about specific investors
- The Founder Bill of Rights: Non-negotiable protections you must maintain, formatted as a one-page poster for your wall
- The Investor Background Check: How to investigate VCs before taking their money (most founders never do this)
- Post-Deal Monitoring System: Early warning signs that your "partner" is becoming your predator
- Liquidation preferences that consume entire exits
- Board structures that guarantee founder removal
- Vesting refreshers that keep you perpetually at risk
- Anti-dilution provisions that transfer the company to investors
- Redemption rights that become hostile takeover tools
- Option pool shuffles that silently steal 25% of your equity
- Information rights that become surveillance systems
Whether you're raising your first $500K or your Series C, "Deal Killers" provides battle-tested strategies to protect your equity, maintain control, and ensure that the company you're building remains yours. It's the book every founder needs to read BEFORE meeting their first investor.
The difference between a good exit and a great exit isn't the sale price – it's the terms you signed years earlier.
Written for founders, by someone who's seen too many founders get processed instead of partnered with. Includes downloadable templates, checklists, and calculators to use in your own negotiations.
