This book argues that commercial paper became negotiable instruments under the common law due to equitable estoppel for the benefit of trade rather than any custom or statute. It was recognized that as between the original parties, defenses based upon fraud, error, or deceit were available. However, the courts did not want to subject holders in due course to such defenses, so they adopted an estoppel against the original parties, and that estoppel was extended to subsequent holders in due course. The doctrines governing commercial paper also developed to protect priority of liens and to prevent double recovery, mostly due to the pressing needs of commerce.
